Terms of Service
The agreement between TixBloom and everyone who uses TixBloom: organisers, exhibitors, attendees, their staff and anyone who accesses the service.
Version 2.0 · Effective 16 October 2026 · TixBloom
1. Who we are and what these Terms cover
1.1 TixBloom is a brand of TixBloom, a company incorporated in Singapore with its registered office at Singapore ("the Company", "we", "us", "our"). References to "TixBloom" or the "Platform" mean the websites, applications, APIs, hosted pages, emails, printing bridge, kiosk and door tools and related services that we make available under those names.
1.2 These Terms of Service ("Terms") are a legally binding agreement between you and the Company. They apply to every person and entity that accesses or uses the Platform in any way, whether as an organiser, an exhibitor, a sponsor, an attendee, a member of staff, a developer or a visitor ("you"). If you use the Platform on behalf of a company or other entity, you represent that you are authorised to bind that entity and "you" includes that entity.
1.3 The Acceptable Use Policy, Privacy Policy, Refund Policy, Security and Data Residency statement and, for organisers, the Data Processing Addendum are incorporated into these Terms by reference. If there is a conflict, a written agreement signed by the Company prevails, then these Terms, then the incorporated policies.
1.4 By creating an account, publishing an event, accepting an invitation, buying or holding a ticket, scanning a code, calling the API or otherwise using the Platform, you accept these Terms. If you do not accept them, do not use the Platform.
1.5 You must be at least 18 years old to create an account or buy tickets. A person under 18 may attend an event only with a ticket bought by, and under the supervision of, a parent or guardian who accepts these Terms on their behalf. The Platform is not directed at children under 13.
2. Our role: a platform, not a party to the event
2.1 TixBloom is software and infrastructure that organisers use to publish events, sell tickets and exhibitor packages, manage attendees and exhibitors, run the door and report. The Company is not the organiser, promoter, venue, seller, agent, merchant of record, insurer or guarantor of any event or of any ticket, package, add-on, product or service sold through the Platform by an organiser or exhibitor, and does not inspect, endorse or control events.
2.2 Every ticket, package and add-on sold by an organiser through the Platform is a contract between the buyer and that organiser alone. The organiser sets prices, terms, refund policies, age limits, entry conditions and all other terms of the event. We are not responsible for the event taking place, its quality, safety, legality, timing, content, cancellation, postponement, venue change or line-up, or for any statement an organiser or exhibitor makes.
2.3 Where money is paid to an organiser, it is collected by a third-party payment provider into an account controlled by the organiser (or paid directly to the organiser by bank transfer). The Company does not receive, hold, escrow or control those funds and is not a party to the payment. The only payments made to the Company through the Platform are payments of TixBloom invoices (Part 7).
2.4 Nothing in these Terms creates a partnership, joint venture, agency, franchise, employment or fiduciary relationship between you and the Company. Neither party may bind the other.
3. Accounts, sign-in and security
3.1 You must provide accurate, current and complete information when you create an account and keep it up to date. You may not impersonate anyone, use another person's email address without authority, or create accounts by automated means.
3.2 Sign-in uses single-use email links and codes, passwords for platform administrators, or single sign-on through an identity provider that an organisation controls. You are responsible for the security of your email account, your devices, your identity provider and any password or API key issued to you. Any action taken through a valid sign-in link, session, API key or SSO assertion is treated as taken by you, whether or not you authorised it, until you tell us otherwise and we have had a reasonable time to act.
3.3 Tell us immediately at billing@tixbloom.com if you suspect unauthorised access. We may suspend access, rotate credentials or sign out sessions to protect you, other users or the Platform, with or without notice.
3.4 Organisation owners and admins control who has access to their workspace and with what role. The Company is not responsible for actions of people an organisation invites, including staff, finance, marketing, check-in users, exhibitor team members and anyone who receives a shared link.
3.5 Demo workspaces, sample data and features marked beta, preview or experimental are provided for evaluation only, may change or be withdrawn at any time, may be reset without notice and carry no warranty of any kind.
4. Organiser terms
4.1 If you publish an event you are the "Organiser" of that event and the seller of everything sold on its pages. You are solely responsible for: (a) the accuracy of the listing, pricing, dates, venue and all content; (b) obtaining and maintaining every licence, permit, insurance, venue consent and approval the event needs; (c) compliance with all applicable laws, including consumer protection, advertising, ticketing, public entertainment, safety, accessibility, competition and tax law; (d) collecting and remitting GST and any other taxes on your sales and issuing tax invoices where required; (e) delivering the event and honouring every ticket, package and add-on you sell; (f) your refund policy and all refunds, credits, chargebacks and disputes; and (g) the conduct of your staff, contractors, exhibitors, sponsors, speakers and attendees at your event.
4.2 You are the data controller (the organisation in Singapore's Personal Data Protection Act 2012 ("PDPA")) of the personal data of your attendees, exhibitors and staff that you collect or process through the Platform. The Company processes that data on your behalf as a data intermediary under the Data Processing Addendum. You must have a lawful basis for everything you do with that data, publish your own privacy notice, honour access, correction and withdrawal requests, respect the Do Not Call Registry and the Spam Control Act 2007 in any marketing you send, and use exported data only as the law and these Terms allow.
4.3 You must connect your own payment provider account or offer bank transfer. You are bound by the terms of each payment provider you use, including their rules on prohibited businesses, chargebacks, reserves and payouts. If a payment provider refuses, reverses, holds or claws back a payment, that is between you and the provider; we have no liability for it and no obligation to advance funds.
4.4 You may not use the Platform to sell anything that is unlawful, that infringes third-party rights, that is misleading, or that your payment provider prohibits. We may unpublish an event, hide a listing from discovery, or suspend an organisation that we reasonably believe breaches these Terms, the law or a third party's rights, or that exposes us to legal, financial or reputational risk. Where practicable we will tell you first. Door entry for attendees of an event that is already under way is not interrupted by a suspension.
4.5 You grant the Company a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt, display, transmit and distribute the content you upload (names, logos, artwork, descriptions, programmes, maps, files) for the purpose of operating, securing, improving and promoting the Platform and your event, including showing your event in discovery pages and feeds. You warrant that you own or have cleared all rights in that content and that it does not infringe anyone's rights or any law.
4.6 You must keep your organisation's contact, billing and legal details accurate, including the legal name shown on tax invoices and the support email shown to attendees.
4.7 You are responsible for any settings you choose, including seating plans, price levels, holds, kills, capacity, re-entry rules, badge content, automatic emails, webhooks, API keys, integrations, custom domains and sender domains, and for the consequences of those settings.
5. Attendee terms
5.1 A ticket is a revocable, personal, non-transferable licence from the Organiser to attend the event it names, subject to the Organiser's conditions, the venue's rules and these Terms. The Organiser may allow transfer or name changes through the Platform; where they do not, a ticket may not be resold or transferred, and the Organiser may refuse entry to anyone presenting a ticket that has been resold contrary to its conditions.
5.2 Each ticket carries a unique code. The first successful scan at the door admits the holder; any later presentation of the same code is treated as a duplicate and may be refused unless the Organiser allows re-entry. Protect your code as you would cash. We and the Organiser are not responsible for tickets that are lost, shared, copied, screenshotted or stolen.
5.3 By buying a ticket you contract with the Organiser, you agree to the Organiser's terms and refund policy as shown at checkout, and you agree that your name, email, phone, company, answers to registration questions and attendance will be shared with the Organiser. The Organiser decides refunds, exchanges, cancellations, postponements and all other matters relating to the event. The Company cannot issue refunds of money paid to an Organiser and has no obligation to do so.
5.4 Contact details are shared with an exhibitor only when you choose to share them, and only the fields you choose, as described in the Privacy Policy. A scan of your networking code shares nothing by itself. Once shared, your details are held by that exhibitor as a separate organisation under its own privacy practices.
5.5 You must follow all reasonable instructions of the Organiser, venue and security staff. Entry may be refused or revoked, without refund, for unlawful, dangerous, abusive or disruptive behaviour, for breach of venue rules, or for presenting an invalid or duplicated code.
5.6 Where a ticket is free, Parts 5.1 to 5.5 apply equally. Where you register another person, you confirm that you have their authority to share their details and that they accept these Terms.
6. Exhibitor and sponsor terms
6.1 An exhibitor or sponsor accepts an invitation from an Organiser, pays any participation fee and add-ons to the Organiser, completes a company profile and invites its own booth team. The participation contract is between the exhibitor and the Organiser. The Company is not a party to it and does not guarantee booth location, footfall, lead volume, utilities, services or anything else the Organiser or venue provides.
6.2 Lead data (contact details attendees share with you) is personal data that you receive as an organisation in your own right. You may use it only for the purpose the attendee agreed to, in compliance with the PDPA, the Spam Control Act 2007 and the Do Not Call provisions, and your own privacy notice. You must honour withdrawal requests promptly and must not sell, rent or share lead data with third parties without the attendee's consent.
6.3 Exhibitor and booth-team accounts may access only their own company's data. Attempting to view another exhibitor's leads, profile or team is a breach of these Terms and may be a criminal offence under the Computer Misuse Act 1993.
6.4 Content you upload (logos, collateral, descriptions, product images) is licensed to the Company and the Organiser as in Part 4.5 and you give the same warranties.
7. Fees, usage billing and invoices
7.1 Organisers pay the Company the fees described on the pricing page and on the event's publish screen at the time of publication ("Fees"). Unless a written agreement says otherwise, Fees comprise: (a) a usage fee per unique checked-in attendee beyond the free allowance, charged by the volume band each arrival falls in; (b) the price of add-ons, services and equipment ordered from the TixBloom catalogue or quoted to you; and (c) any plan subscription you have agreed. The free allowance, bands and rates are saved on each event when it is published and apply to that event even if public pricing changes afterwards.
7.2 Usage is measured solely by the append-only arrival ledger written when a credential with an attendee kind is first successfully scanned or admitted. Re-entries, duplicate scans, reprints, no-shows, staff and exhibitor credentials, cancelled registrations and test data in demo workspaces are not counted. The ledger is the conclusive record of usage absent manifest error.
7.3 Fees are exclusive of GST and any other taxes, duties or withholdings, which are added where applicable. If you are required by law to withhold any amount, you must gross up the payment so that we receive the full invoiced amount.
7.4 Invoices are issued after an event ends (or at the intervals stated for subscriptions and add-ons) and are payable within the number of days shown on the invoice, by card, PayPal, PayNow or bank transfer to the account named on the invoice. Any dispute about an invoice must be raised in writing within 14 days of the invoice date, identifying the lines disputed and why; undisputed amounts remain payable and the parties will reconcile disputed lines against the ledger. After 14 days the invoice is deemed accepted.
7.5 Overdue amounts bear interest at 1.5% per month (or the maximum rate permitted by law, if lower) from the due date until paid, compounded monthly, plus any reasonable costs of recovery, including legal fees on an indemnity basis. We may suspend new publications, exports, API access and other workspace functions for an organisation with an invoice more than 30 days overdue, after giving 7 days' notice. We will not interrupt door entry for attendees of an event that is already under way because of an unpaid invoice.
7.6 Fees are non-refundable except as stated in the Refund Policy or required by law. We may set off any amount you owe us against any amount we owe you.
7.7 We may change public pricing, bands, the free allowance and plan features at any time by updating the pricing page. Changes apply to events published after the change and to subscription periods beginning after at least 30 days' notice. Events already published keep the terms saved on them.
7.8 Add-ons and services supplied by TixBloom (for example printers, kiosks, consumables, onsite staff or custom badges) are supplied under the catalogue description, the quote and any separate statement of work. Delivery dates are estimates. Title to goods passes on payment in full; risk passes on delivery. Hardware lent for an event must be returned in the condition received, fair wear excepted, and you are liable for loss or damage while it is in your care.
8. Third-party services
8.1 The Platform relies on and connects to services we do not control, including payment providers (such as Stripe, HitPay, PayPal, 2C2P, Adyen, NETS and Braintree), email delivery, hosting, DNS, identity providers, mapping, analytics, Slack and other integrations, and any service you connect through webhooks, the API or the MCP server ("Third-Party Services"). Your use of a Third-Party Service is governed by that provider's terms and privacy policy. We are not responsible for Third-Party Services, their availability, their fees, their security or any loss they cause.
8.2 Payment card details are entered on the payment provider's hosted pages or fields and never touch our servers. We store only the provider's references and the amounts and statuses it reports. We are not responsible for the accuracy of fee or payout information a provider reports to us.
8.3 Features that use artificial intelligence (for example the attendee concierge, content translation and post-event summaries) generate output automatically from the event's own data and public models. Output may be incomplete, inaccurate or inappropriate. It is provided for convenience only, is not advice, and must be checked before being relied on. Organisers may switch such features off per event.
9. Intellectual property and feedback
9.1 The Company and its licensors own all rights in the Platform, including software, designs, text, graphics, logos, trade marks (including TIXBLOOM), data structures, documentation and the look and feel. These Terms grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose during the term. All other rights are reserved. You may not copy, modify, reverse engineer, decompile, create derivative works of, frame, scrape, sublicense, sell, rent or lease any part of the Platform except as expressly permitted in writing or by law.
9.2 You keep ownership of the content and data you upload, subject to the licences in these Terms. We may use aggregated and de-identified data derived from use of the Platform to operate, improve and promote it, provided no individual or organisation is identified.
9.3 If you give us feedback, suggestions or ideas, we may use them without restriction or payment, and you waive any moral rights in them to the extent permitted by law.
9.4 Embeds, the API, the MCP server, webhooks and the printing bridge are licensed for use with your own organisation's data only, subject to the developer documentation and the rate limits of your plan. We may change or deprecate interfaces with reasonable notice.
10. Confidentiality
10.1 Each party must keep confidential any non-public information of the other that is marked confidential or that a reasonable person would treat as confidential, use it only to perform under these Terms, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the recipient, already known to the recipient, independently developed, or required to be disclosed by law or a court (in which case the recipient will, where lawful, give prompt notice).
10.2 Pricing agreed in a written agreement, security reports, non-public roadmap information and audit material are the Company's confidential information.
11. Availability, support and changes
11.1 We aim to keep the Platform available at all times but do not guarantee uninterrupted or error-free operation. We may suspend the Platform for maintenance, security, legal or operational reasons. Service levels, if any, are only those stated in a written Enterprise agreement.
11.2 Support is provided by email at billing@tixbloom.com during Singapore business hours unless a plan or agreement says otherwise. Onsite support is supplied only under a separate quote.
11.3 We may add, change or remove features at any time. We will give reasonable notice of changes that materially reduce core functionality for paid plans.
11.4 You are responsible for your own devices, browsers, printers, networks and internet connectivity, including at the venue. Offline modes are best-effort and data captured offline is reconciled when connectivity returns.
12. Warranties and disclaimers
12.1 Each party warrants that it has the right to enter into these Terms. The Organiser additionally warrants that every statement it makes on the Platform is true and not misleading and that it will perform the obligations in Part 4.
12.2 Except as expressly stated in these Terms, and to the fullest extent permitted by law, the Platform and everything provided through it are supplied "as is" and "as available", and the Company disclaims all warranties, conditions and terms, express or implied, including merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Platform will meet your requirements, be secure, timely or free of viruses or errors, or that defects will be corrected.
12.3 We make no warranty of any kind about any event, Organiser, exhibitor, venue, Third-Party Service or any result you may obtain from using the Platform, including sales, attendance, leads or revenue.
13. Limitation of liability
13.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under Singapore law, including under the Unfair Contract Terms Act 1977.
13.2 Subject to Part 13.1, the Company, its related corporations, and their directors, officers, employees, agents and suppliers are not liable to you under or in connection with these Terms or the Platform, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise, for: (a) any loss of profit, revenue, business, sales, contracts, goodwill, opportunity or anticipated savings; (b) loss or corruption of data (beyond restoring from our most recent backup); (c) business interruption; (d) any loss arising from an event, its cancellation, postponement or conduct, or from the acts or omissions of any Organiser, exhibitor, attendee, venue or Third-Party Service; (e) any loss arising from refused, duplicated, lost or transferred tickets; or (f) any indirect, special, incidental, punitive, exemplary or consequential loss, in each case even if foreseeable or if we were advised of the possibility.
13.3 Subject to Parts 13.1 and 13.2, the Company's total aggregate liability to you for all claims arising in any 12-month period is limited to the greater of (a) the Fees you actually paid to the Company in that period for the event or service giving rise to the claim and (b) SGD 1,000. For attendees, exhibitors and anyone who has not paid Fees to the Company, the limit is SGD 100.
13.4 You acknowledge that the Fees reflect this allocation of risk and that the Company would not provide the Platform on these terms without it. Any claim must be brought within one year after the cause of action arises, or it is barred.
14. Indemnities
14.1 You will defend, indemnify and hold harmless the Company, its related corporations and their directors, officers, employees and agents from and against all claims, demands, proceedings, losses, damages, liabilities, fines, penalties, costs and expenses (including legal fees on an indemnity basis) arising out of or connected with: (a) your event, products, services, content or conduct; (b) your breach of these Terms, any incorporated policy or any law; (c) your processing of personal data, including any failure to obtain consent or to honour a request; (d) any tax, duty or levy on your sales; (e) chargebacks, refunds, disputes or claims by your attendees, exhibitors, sponsors, staff, venue or suppliers; (f) your use of Third-Party Services; and (g) any infringement of a third party's intellectual property, privacy or other rights by content or data you provide.
14.2 We will give you prompt notice of a claim, reasonable assistance at your cost, and control of the defence, except that you may not settle a claim in a way that admits fault on our behalf or imposes obligations on us without our written consent.
15. Suspension and termination
15.1 You may stop using the Platform at any time. Organisers may close an organisation from its settings once all invoices are paid and no event is under way.
15.2 We may suspend or terminate your access, unpublish events, remove content or close an organisation, immediately and without liability, if: (a) you breach these Terms or an incorporated policy; (b) an invoice remains unpaid after notice; (c) we are required to by law, a court, a regulator or a payment provider; (d) we reasonably believe your use creates security, legal, financial or reputational risk; (e) your account has been inactive for 24 months; or (f) we withdraw the Platform or a plan, in which case we will give at least 60 days' notice to paying organisers.
15.3 On termination, your licence ends and you must stop using the Platform. Organisers may export their data for 30 days after termination, after which we may delete it, except for records we keep for invoicing, tax, dispute, security or legal purposes. Parts 2, 4.1, 4.2, 5.3, 6.2, 7, 9, 10, 12, 13, 14, 15.3, 17 and 18 survive termination.
16. Force majeure
16.1 Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of God, flood, fire, epidemic, war, terrorism, civil unrest, strikes, failure of utilities, telecommunications or hosting providers, denial-of-service attacks, government action or changes in law. The affected party must use reasonable efforts to mitigate. This Part does not excuse payment of Fees already incurred.
17. General
17.1 Entire agreement. These Terms, the incorporated policies and any written agreement signed by the Company are the entire agreement between the parties about their subject matter and supersede all prior discussions and representations. Each party acknowledges that it has not relied on any statement not set out in them.
17.2 Changes. We may amend these Terms by publishing a new version with a new date. Material changes will be notified to account holders by email or in the Platform at least 30 days before they take effect, except where a change is required by law or to address security or abuse, in which case it may take effect immediately. Continued use after the effective date is acceptance. If you do not accept a change you must stop using the Platform before it takes effect.
17.3 Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to a related corporation or a successor to the business on notice.
17.4 Subcontracting. We may use subcontractors and sub-processors, remaining responsible for their performance as set out in the Data Processing Addendum.
17.5 Notices. Notices to you may be sent to the email address on your account or shown in the Platform. Notices to us must be sent to billing@tixbloom.com or to our registered office, and are effective on receipt.
17.6 Severability and waiver. If any provision is unenforceable it is to be read down or severed to the minimum extent necessary and the rest remains in force. A failure or delay to enforce a right is not a waiver.
17.7 Third parties. Except for the persons indemnified or protected under Parts 13 and 14, a person who is not a party has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any term.
17.8 Export, sanctions and anti-corruption. You will comply with applicable sanctions, export control and anti-bribery laws and will not use the Platform for the benefit of any sanctioned person or territory.
17.9 Language. These Terms are written in English. Translations are provided for convenience only and the English version prevails.
17.10 Electronic contracting. You agree that these Terms, policies, invoices, tickets and notices may be provided and accepted electronically and that electronic records satisfy any requirement for writing or signature under the Electronic Transactions Act 2010.
18. Governing law and disputes
18.1 These Terms and any dispute or claim (including non-contractual claims) arising out of or in connection with them or the Platform are governed by the laws of Singapore.
18.2 The parties will first try to resolve any dispute by good-faith discussion between senior representatives for 30 days after written notice of the dispute.
18.3 Any dispute not resolved under Part 18.2 shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre in accordance with the Arbitration Rules of the SIAC for the time being in force, which rules are deemed incorporated by reference in this clause. The seat of the arbitration shall be Singapore, the tribunal shall consist of one arbitrator and the language of the arbitration shall be English. Where the amount in dispute is within the jurisdiction of the Small Claims Tribunals of Singapore, either party may instead bring the claim there.
18.4 Nothing in this Part prevents either party from seeking urgent injunctive or interim relief from the courts of Singapore, to whose non-exclusive jurisdiction the parties submit for that purpose, or from pursuing recovery of unpaid Fees in the courts of Singapore.
18.5 To the extent permitted by law, disputes must be brought in a party's individual capacity and not as a plaintiff or class member in any purported class, collective or representative proceeding.
